Any company receiving candidate or consultant introductions from ESS.

Candidate

Any individual introduced by ESS for permanent or contract engagement.

Introduction

The provision of candidate information by ESS to the Client, including but not limited to CVs, profiles, or interviews.

Engagement

The employment or engagement of a Candidate by the Client, directly or indirectly.

• Permanent placement of professionals

• Provision of freelance consultants

• Sourcing of specialists for SAP transformation programs

• Advisory and talent acquisition support

An Introduction is deemed to have taken place when ESS provides a candidate profile or arranges contact between the Client and a Candidate.

If the Client engages a Candidate introduced by ESS within 12 months of the Introduction, a recruitment fee shall be payable to ESS.

Where a Candidate accepts permanent employment with the Client, the Client shall pay ESS a placement fee calculated as a percentage of the Candidate’s agreed annual gross remuneration.

Unless otherwise agreed in writing:

Placement Fee:

25% of the Candidate’s first-year gross base salary

The fee becomes payable upon the Candidate’s acceptance of the employment offer.

For freelance or contract engagements, ESS supplies consultants to the Client at an agreed hourly or daily rate.

The rate charged to the Client includes the consultant remuneration and ESS service margin.

ESS will invoice the Client based on approved timesheets submitted by the consultant.

Invoices issued by ESS are payable within:

14 days from invoice date

Late payments may incur statutory interest and recovery costs where applicable.

Candidates introduced by ESS remain the property of ESS for a period of 12 months following the Introduction.

If the Client engages the Candidate within this period, whether directly or through another intermediary, the applicable recruitment fee remains payable.

The Client agrees not to bypass ESS by engaging candidates introduced by ESS through alternative channels, affiliates, or third parties.

Any such engagement within the ownership period shall trigger the applicable recruitment fee.

If a permanently placed Candidate leaves the Client within the following period:

Replacement searches are provided at ESS discretion and subject to market availability.

No refunds are provided.

ESS endeavors to ensure candidate information is accurate.

However, the Client remains responsible for:

• Verifying references

• Conducting background checks

• Assessing suitability of the candidate

ESS does not guarantee performance of any candidate or consultant.

ESS shall not be liable for any indirect, consequential, or economic loss arising from the engagement of a Candidate.

ESS liability shall be limited to the value of the recruitment fee paid.

All candidate information provided by ESS is confidential and must not be disclosed to third parties without prior written consent.

ESS processes personal data in accordance with its:

• Privacy Policy

• Applicable data protection regulations including GDPR where applicable

These Terms of Business shall be governed by and interpreted in accordance with the laws of the United Arab Emirates.

Any disputes shall be subject to the jurisdiction of the competent courts of the UAE.
